Welcome to Adaine Write (INATIGO, “Company”, “we”, “our”, “us”)! Before you start using our service, please take a few moments to read the following Terms of Service (“Terms”, “Terms of Service”). It will only take you a few minutes.

Your use of our website located at https://write.adaine.com, is governed by these Terms of Service. Our Privacy Policy, which explains how we collect, protect and disclose information resulting from your use of the website, is also included in the Agreements. By using the service, you acknowledge that you have read and understood the Agreements, and agree to be bound by them. If you do not agree with (or cannot comply with) the Agreements, please let us know by emailing us at support@adaine.com so that we can try to find a solution. These Terms apply to all visitors, users and those who wish to access or use the Service.

By signing up for an Account on our Service, you accept to receive newsletters, promotional materials and other information that we may send. However, you can choose to opt out of any or all of these communications from us by clicking the unsubscribe link or sending an email to Adaine Write.

Purchase

 

When looking to make a purchase of any product or service offered through the Adaine Write platform (“Purchase”), you may be asked to supply certain information such as your credit card number, expiration date, billing address and shipping information. By submitting this information, you guarantee that you have the legal right to use any credit card or other payment method associated with the purchase. We may also use third-party services to facilitate payment and complete the transaction.

We retain the right to cancel or deny any order for reasons including, but not limited to, product or service availability, pricing or description errors, or errors in your order. We also reserve the right to modify the number of words charged for the output or input, or impose any usage restrictions per hour. This is done to ensure fair access for all users and protect the quality of our service. Lastly, we reserve the right to refuse or cancel an order if fraud or an illegal or unauthorized transaction is suspected.

Basic Capabilities

 

Basic functions refer to all the Adaine Write abilities that come with the purchase of their long-term deal (LTD) in 2023, apart from the following functions which are only available in word-based plans: 

AdaineChat, AdaineArt, Long Article Rewriter, Bulk upload, Long-Form Writing Assistant with a capacity of over 1200 words per generation, Custom Feature Request, and any other features that may be obtainable in word-based plans only

AdaineArt

 

 AdaineArt, powered by Adaine Write, makes use of both OpenAI's model & DALL-E and Stable Diffusion model from Stability AI LTD and any artwork created by AdaineArt shall be subject to the ownership terms stipulated here and here

Contests

 

Adaine Write facilitates various Contests and Promotions (collectively, “Promotions”) through its Service. If you choose to take part in any of these Promotions, please be sure to go through the relevant rules in addition to the Privacy Policy. In case of a clash between the Promotion rules and the Terms of Service, the former will apply.

Subscriptions

 

Certain parts of Service are billed regularly (“Subscription(s)”). Payments are collected in advance on a recurring and regular basis (“Billing Cycle”). The cycle of bills depends on the type of subscription plan selected when buying a Subscription.

 

At the end of each Billing Cycle, your Subscription will be renewed automatically, unless you or Adaine Write cancel it. Cancellation of the renewal can be done through your account page or by contacting Adaine Write's customer support team.

An accepted payment method, including credit card or PayPal, is required to process the subscription payment. You must provide Adaine Write with correct and full billing info, including name, address, state, zip code, phone number, and a valid payment method. By providing this payment info, you are giving permission to Adaine Write to bill all Subscription fees incurred from your account to any of the payment instruments.

 

In case of automatic billing failing for any reason, Adaine Write will issue an electronic invoice, indicating the need to proceed manually with the full payment for that billing period within the given deadline date.

Trial Plans

 

A Free Trial may be offered by Adaine Write at its own discretion for a period of time. You may be asked to submit your billing details to sign up for the trial. You will not be billed until the Free Trial has ended. 

At the end of the trial, unless you have cancelled the subscription, you will be charged the applicable charges for the type of subscription you have chosen. Adaine Write has the right to alter the terms of the Free Trial offer or end the promotion at any time without prior notice.

 

 

 

Subscription Price Variations

 

Adaine Write has the prerogative to modify the subscription fees at any point in time without prior notice. The new fees will be applicable at the end of the current Billing Cycle.

Adaine Write reserves the right to modify or cancel the Terms of Service of the Free Trial offer at any given moment without sending any prior notification.

By continuing to make use of the Service after the Subscription fee change has been applied, you are in agreement to pay the adjusted fee amount.

Refunds

 

Adaine Write allows for refunds for Contracts within seven (7) days of the original purchase of the Contract, provided that the words usage does not exceed 3000 words for any plans.

Fair Use Policy

 

Adaine Write is committed to providing its customers with a high-quality, fast and reliable service. This is why, despite occasionally launching unlimited credits/words plans, we have a Fair Usage Policy (FUP) to prevent excessive usage. We expect our users to use this tool responsibly and there are certain limits and restrictions required by our partner company, OpenAI, that everyone must adhere to. 

We can guarantee that our FUP will allow genuine users to comfortably meet their daily and monthly usage demands, as long as they comply with the conditions stated. Furthermore, we are committed to ensuring our services are accessible to everyone, offering the best user experience possible. Abnormal usage by one person may affect the speed and quality of the service for other users.

 

By using this service, users should choose a plan that suits their profession and business size. If their usage is very high, they should switch to the next higher plan, ask us for a custom plan, or utilise our business API. Additionally, Adaine Write seeks to prevent automated and robotic behaviour, and ensure the safety of its service and its partners. 

With regards to our plans, we assume that users will not create articles/blog posts using our Adaine Write writer of more than 20 - 40 times per day. Usage beyond these limits will not be considered standard. However, our AI may allow some flexibility in its limits based on the user's usage pattern of previous and present months.

In addition, our AI engine prevents certain use cases such as sharing their unlimited account login details with others for monetary gain. This kind of behaviour is illegal and a single seat is meant for one user only; multiple users in one login account is not permitted. If our system detects this activity, certain parameters may be automatically adjusted temporarily; users may notice a drop in the quality of the output, which should resolve itself once their monthly cycle renews. 

Any abnormally high usage or illegal activity involving the sharing of login details may result in the account being blocked or permanently deleted without any prior notice. No refunds will be issued for any claims/disputes of this nature. By using our service, users are agreeing that any such claims/disputes raised by them or by their bank.

Adaine Write's Usage Restrictions

 

You may only use the Adaine Write services for lawful purposes, in accordance with these Terms. You agree not to use Adaine Write services in any way that:

Violates any applicable national or international law or regulation.

Exploits, harms, or attempts to exploit or harm minors in any way.

Transmits, or procures the sending of, any advertising or promotional material, including any “junk mail”, “chain letter,” “spam,” or any other similar solicitation.

Impersonates or attempts to impersonate Adaine Write, Adaine Write employees, other users, or any other person or entity.

Is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.

Restricts or inhibits anyone’s use or enjoyment of Adaine Write services, or which, as determined by us, may harm or offend Adaine Write or users of Adaine Write services or expose them to liability.

Our AI provider Open AI does not permit the generation of sexual, religious and political content, so you agree not to generate any such content. If you try to generate such content, our system will give you an error message of “Unsafe Content” the first time. If you attempt to generate such content again, your subscription will be cancelled and you will be barred from using our services again and no refunds will be issued.

You also agree not to:

Use Adaine Write services in any way that could disable, overburden, damage, or impair the services or interfere with any other party’s use of the services, including their ability to engage in real time activities through the services.

Use any robot, spider, or other automatic device, process, or means to access the services for any purpose, including monitoring or copying any of the material on the services.

Use any manual process to monitor or copy any of the material on the services or for any other unauthorized purpose without our prior written consent.

Use any device, software, or routine that interferes with the proper working of the services.

Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.

Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the services, the server on which the services are stored, or any server, computer, or database connected to the services.

Attack the services via a denial-of-service attack or a distributed denial-of-service attack.

Take any action that may damage or falsify Adaine Write's rating.

Otherwise attempt to interfere with the proper working of the services.

 

Third-Party Analytics Providers

 

Adaine Write utilizes third-party Service Providers to observe and study the utilization of our Service.

Google Analytics

Google Analytics is a web analytics service provided by Google that tracks and reports website activity. Google uses the information accumulated to track and monitor the use of our Service. This data is shared with other Google services. Google may use the collected data to personalize and contextualize the ads of its own advertising network.

Use over 18 years of age

 

Adaine Write does not allow access or use of its service by anyone under the age of eighteen (18). By accessing or using any of the services provided by Adaine Write, you are confirming that you are at least eighteen years of age and have the full authority, right, and capacity to enter into this agreement and abide by all of the terms and conditions of the Terms. If you are not of the legal age, you are not allowed to access or use any of the services provided by Adaine Write.



Adaine Write Account

 

When setting up an account with Adaine Write, you guarantee that you are above the age of 18 and that the information you provide us is accurate, up-to-date and complete. If any of this information is incorrect, incomplete or outdated, your account may be terminated immediately.

 

You will be responsible for keeping your account and password secure. You accept responsibility for any and all activities that happen under your account and/or password, regardless of whether the password is held by us or a third-party service. You must notify us straight away if you become aware of any breach of security or unauthorised use of your account.

 

When choosing a user name, it must not be the name of another person or entity, or a name or trademark that belongs to another person or entity. It should not be offensive, rude or obscene.

 

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders without notice.





Intellectual Property

 

The original content, features, and functionality of Adaine Write and its services are and will remain the exclusive property of Adaine Write and its licensors. This service is protected by copyright, trademark, and other laws of both the United Kingdom, United States and foreign countries. Our trademarks and trade dress must not be used in connection with any product or service without the preceding written consent of Adaine Write.



Adaine Write respects the intellectual property rights of other parties. Our policy is to address any allegation that material posted on our Service violates someone else's copyright or other intellectual property rights (known as an "Infringement").

 

If you are a copyright owner or an authorized representative and you think that content on our Service has been illegally copied in a manner that constitutes infringement, please submit a claim to support@adaine.com with the headline "Copyright Infringement" and include in your claim a detailed description of the alleged breach according to the standards set out under "DMCA Notice and Procedure for Copyright Infringement Claims".

 

You may be held liable for damages (including costs and attorneys' fees) for any unjustified or bad faith claims of infringement of any Content found on and/or through the Service on your copyright.





Notice and Process for Copyright Infringement Claims Under the DMCA

 

If you wish to submit a notification according to the Digital Millennium Copyright Act (DMCA), you must provide Adaine Write's Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for more info):

 

A physical or digital signature of the individual who is authorized to act on behalf of the copyright's owner;

 

A description of the copyrighted work that you claim has been infringed, including a URL or a copy of the copyrighted work;

 

A description of the location on Adaine Write's Service where the material that you claim is infringing is located;

 

Your address, phone number, and email address;

 

A statement that you have a good faith belief that the disputed use is not allowed by the copyright owner, its agent, or the law;

 

A statement, under penalty of perjury, that the information given in your notice is accurate and that you are the copyright owner or are authorized to act on behalf of the copyright's owner.

Error Identification and Commentary

 

You may share with us either directly at support@adaine.com or through third-party websites and applications, any information and remarks concerning errors, ideas for improvement, proposals, issues, complaints, or any other matters related to our Service (“Comments”). 

 

You acknowledge and agree that: (i) you have no right to own, acquire, or assert any intellectual property right or other right, title, or interest in the Comments; (ii) Company may already have similar ideas like those in the Comments; (iii) the Comments do not include confidential or proprietary information from you or any other individual; and (iv) Company is not obligated to keep the Comments confidential. In the event that the transfer of the ownership of the Comments is not possible due to applicable legal regulations, you grant Company and its affiliates an exclusive, assignable, irrevocable, free-of-charge, sub-licensable, unlimited and perpetual right to use (including copy, modify, create derivative works, publish, distribute and commercialize) the Comments in any way and for any purpose.

You understand and agree that Adaine Write shall not be held accountable, directly or indirectly, for any damage or loss caused or potentially caused by or in connection with the use of, or trust in, any such content, goods or services available on or through any third party web sites or services.

Warranty Disclaimer 

 

Adaine Write provides its services on an “as is” and “as available” basis. There is no guarantee or representation of any kind, either expressed or implied, concerning the operation of the services, or the information, content or materials included therein. Users of these services are solely responsible for any services or items obtained from Adaine Write.

 

Adaine Write and any persons associated with it do not offer any warranty or representation regarding the completeness, security, reliability, quality, accuracy, or availability of the services. It is not guaranteed that the services, their content, or any services or items acquired through the services will be accurate, reliable, error-free, uninterrupted, that defects will be corrected, that the services or the server that makes it available are free of viruses or other harmful components or that the services or any services or items obtained through the services will meet user needs or expectations.

 

Adaine Write hereby disclaims all warranties of any kind, whether expressed or implied, statutory, or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for a particular purpose.

 

However, the foregoing does not affect any warranties which cannot be excluded or limited under applicable law.



Liability Limitation

 

We, together with our officers, directors, employees and agents, shall not be held accountable for any indirect, punitive, special, incidental or consequential harms, regardless of how they were caused (including all attorney's fees, court costs and costs related to arbitration or litigation, whether instituted or not). 

 

This includes, but is not limited to, any claims of personal injury or property damage, related to this agreement, or any violations of federal, state or local laws, statutes, rules or regulations. Unless prohibited by law, if we are found liable, the amount shall not exceed the price paid for the products and/or services, and no punitive damages shall be awarded. Some states do not allow the exclusion or limitation of punitive, incidental or consequential damages, so the prior limitation or exclusion may not apply to you.



Termination of use

 

Adaine Write reserves the right to terminate or suspend your account and block access to Service instantly, without any warning or obligation, at our sole discretion, for any cause whatsoever and with no restriction, including but not limited to a violation of Terms.

 

When you desire to end your account, simply stop using Service. We may also end or suspend your account and bar access to Service without notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of Terms.



Governing Law Body

 

These Terms shall be interpreted and enforced in accordance with the laws of England and Wales, regardless of any conflict of law provisions.

 

Our refusal to enforce any right or provision outlined in these Terms shall not be considered a relinquishment of those rights. If a court determines any clause of these Terms to be invalid or unenforceable, the remaining conditions will remain in full effect. 

 

This document constitutes the entirety of the agreement between us regarding the Service and supersedes and replaces any prior agreements we may have had in relation to the Service.



Modifications To Service

 

Adaine Write reserves the right to alter or remove our Service, and all services or materials we provide by means of our Service, at any point without prior notification. We will not be accountable if, for any reason, any or all of the Service is not available at any time or for any period. On occasion, we may limit access to certain sections of the Service, or the entire Service, to users, including registered users.




Potential Alterations To Terms

 

We may make changes to Terms at any time by displaying the amended terms on this site. It is your obligation to review these Terms periodically.

 

If you continue to use the Platform after the updated Terms are posted, this implies that you accept and agree to the changes. It is recommended that you check this page often, so that you are aware of any modifications, as they are obligatory for you.

 

By continuing to access or employ our Service after any modifications become active, you accept to be bound by the new terms. If you don't agree with the revised terms, you are no longer permitted to use the Service.





No Forfeiture of Right

 

Adaine Write will not be deemed to have surrendered any right or condition stipulated in the Terms by failing to enforce any such right or condition. In the event that any clause of the Terms is deemed invalid, illegal or unenforceable in an English or Welsh court of competent jurisdiction, that clause shall be limited to the smallest possible extent, so that the rest of the Terms will remain intact and in full force.
